1. Acceptance of Terms

By accessing or using any app or service operated by umi.design LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services

These Terms apply to all apps and web services listed above. Each service may have additional terms or restrictions; those are described in the per-service notes at the bottom of this page.

3. Account Registration

Some services require you to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate and up-to-date information and notify us promptly of any unauthorized access.

4. Permitted Use

You may use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the services to violate any applicable law or regulation.
• Infringe the intellectual property rights of others.
• Upload malicious code, malware, or harmful content.
• Attempt to gain unauthorized access to the services or related systems.
• Reverse engineer, decompile, or disassemble any part of the services.
• Use the services in a way that could damage, disable, or impair them.
• Scrape, crawl, or otherwise extract data in bulk without prior written consent.

5. Intellectual Property

All content, software, and trademarks associated with our services are owned by umi.design LLC or its licensors. Nothing in these Terms grants you any rights to use our name, logos, or trademarks.

Content you create or upload remains yours. You grant us a limited license to store, process, and display your content solely to provide the services.

6. In-App Purchases and Subscriptions

Some services offer paid features, subscriptions, or in-app purchases.

• iOS apps: Purchases and subscriptions are processed by Apple through the App Store and are subject to Apple's terms and refund policies.
• Web services: Payments are processed by Stripe. Subscriptions auto-renew unless cancelled before the next billing cycle. Except as required by law, fees are non-refundable.

7. Disclaimer of Warranties

The services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the fullest extent permitted by applicable law, umi.design LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the services.

9. Termination

We reserve the right to suspend or terminate your access to the services at any time, with or without notice, if you violate these Terms or for any other reason at our sole discretion. You may also terminate your account at any time by following the in-app or in-service instructions.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by updating the effective date. Continued use of the services after the effective date constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of Japan. Any disputes arising under these Terms shall be submitted to the exclusive jurisdiction of the Nagoya District Court as the court of first instance.

1. 同意

umi.design 合同会社（以下「当社」）が提供するアプリ・Webサービス（以下「本サービス」）を利用することで、 本利用規約（以下「本規約」）に同意したものとみなします。 同意できない場合は、本サービスのご利用をお控えください。

2. 適用範囲

本規約は上記の全サービスに適用されます。 サービスごとに追加の条件や制限がある場合は、本ページ末尾のサービス別注記に記載します。

3. アカウント登録

一部サービスではアカウントの作成が必要です。 ログイン情報の管理およびアカウントでのすべての活動についてはお客様が責任を負います。 正確かつ最新の情報を提供し、不正アクセスが判明した際は速やかにご連絡ください。

4. 利用条件

本サービスは適法な目的のみにご利用ください。以下の行為を禁止します。

• 法令・規制に違反する行為。
• 第三者の知的財産権を侵害する行為。
• マルウェアや有害なコンテンツのアップロード。
• 本サービスまたは関連システムへの不正アクセスの試み。
• 本サービスのリバースエンジニアリング・逆コンパイル・逆アセンブル。
• 本サービスを損傷・無効化・障害をもたらすような利用。
• 事前の書面による許可なくデータを大量にスクレイピング・クロールすること。

5. 知的財産

本サービスに関するコンテンツ・ソフトウェア・商標はすべて当社またはそのライセンサーに帰属します。 本規約は当社の名称・ロゴ・商標の使用を許諾するものではありません。

お客様が作成・アップロードしたコンテンツはお客様に帰属します。 サービス提供に必要な範囲で、当社がコンテンツを保存・処理・表示する限定的なライセンスをお客様から付与していただきます。

6. 有料機能・サブスクリプション

一部サービスでは有料機能・サブスクリプション・アプリ内購入を提供しています。

• iOSアプリ：購入・サブスクリプションはAppleのApp Storeが処理し、 Appleの利用規約・返金ポリシーが適用されます。
• Webサービス：決済はStripeが処理します。 サブスクリプションは次の請求サイクル前にキャンセルしない限り自動更新されます。 法令で定める場合を除き、料金は原則として返金されません。

7. 免責事項

本サービスは「現状のまま」「利用可能な状態で」提供され、 商品性・特定目的への適合性・非侵害性を含む一切の明示的・黙示的保証をいたしません。 サービスが中断なく、エラーなく、有害なコンポーネントを含まずに提供されることを保証するものではありません。

8. 責任の制限

適用法令の許容する最大限の範囲で、当社は本サービスの利用に起因する間接的・付随的・特別・派生的・懲罰的損害、 ならびに利益・データ・信用の損失について一切責任を負いません。

9. 利用停止・終了

本規約違反その他の理由により、当社は通知の有無にかかわらず、 いつでも本サービスへのアクセスを停止・終了できるものとします。 お客様もアプリ・サービス内の指示に従いいつでもアカウントを削除できます。

10. 規約の変更

本規約は適宜更新されることがあります。重要な変更は施行日の更新でお知らせします。 施行日以降のサービス利用継続をもって、更新後の規約に同意したものとみなします。

11. 準拠法・管轄

本規約は日本法に準拠します。本規約に関する紛争については、 名古屋地方裁判所を第一審の専属的合意管轄裁判所とします。
